AGREEMENT – This Agreement is made effective for all purposes in all respects by and between the undersigned client, hereinafter referred to as “the Client” and Avery Choi, Treasurer of Photosoc, hereinafter referred to as "Photosoc" relating to the session that is being booked.

SESSION SCHEDULE – Photosoc agrees to attend and provide services, to the best of their ability during the Session(s) being booked.

RESPONSIBILITIES – Photosoc is not responsible for compromised services provided due to causes beyond the control of Photosoc including but not limited to lateness of the Client or guests, weather conditions, incorrect addresses provided to Photosoc. In the unlikely event that Photosoc is unable to perform to the guidelines of this contract due to an injury, illness, or other cause beyond the control of Photosoc, responsibility and liability is limited to the return or cancellation of all payment received for the Session(s). In the unlikely event that digital files have been lost, stolen or destroyed beyond Photosoc's control, Photosoc's liability is limited to the return or cancellation of all payment received for the Session(s).

INDEMNIFICATION – The Client hereby indemnifies and holds Photosoc harmless against any and all liabilities, claims, and expenses, arising from the Client’s use of Photosoc’s work. Photosoc also indemnifies and holds the Client harmless against any and all liabilities, claims, and expenses, arising from Photosoc’s negligence.

CAPTURE AND DELIVERY – Photosoc is not liable to deliver every image taken at the Session. The determination of images delivered to the Client is left to Photosoc’s discretion. Photosoc will deliver the agreed set of images to the Client by 7 days after the Session(s).

POSTPRODUCTION AND EDITING – The final post production and editing styles, effects, and overall look of the images are left to the discretion of Photosoc. Photosoc is not liable to deliver any RAW images taken at the Session(s).

COPYRIGHT AND USAGE PERMISSION – All rights to the images taken during the Session(s) shall be reserved by Photosoc. Grant of any reproduction rights to the Client is conditioned upon receipt of payment in full. The Client hereby assigns Photosoc the irrevocable and unrestricted right to use and publish photographs of the Client or in which the Client may be included, for editorial, trade, advertising, educational and any other purpose in any manner or medium. The Client cannot demand Photosoc delete or otherwise remove all rights to the images produced. The Client understands that when publishing or reproducing photographs, the Client shall not edit the photographs in any way, including but not limited to further postprocessing or watermarking, without the written permission of Photosoc.
